These Terms of Use govern the use of products, services, features, apps, technologies, and software (hereinafter referred to as "Services") of Room Estate AG and its subsidiaries, hereinafter referred to as "Room Estate," "roomestate.com," "we," or "us," except where we expressly state that separate terms of use, rather than these, apply.

For better readability, terms referring to persons are generally given in one form only on this website, and they apply equally to women and men. This is in no way intended to express gender discrimination or a violation of the principle of equality.

1 Our Services

Room Estate has made it its mission to make the everyday life of tenants in shared apartments as simple as possible through digitalization. Accordingly, we offer the following Services:

1.1 Information Platform

Through our Services, we provide you with centralized information on our rental properties, products for sale, and all other related offerings. Some information is always publicly accessible, while other information requires a user account for access or further details from you.

1.2 Management of Your Tenancy

Our Services enable you to register or apply for our rental properties and then, after a successful review, to conclude the lease. Throughout the entire process, you can get in touch with the roommates of the shared apartment you are registering for, get to know them better through their personalized profiles, or schedule a viewing.

With your user account, you can manage your tenancy online yourself, from the conclusion of the contract to termination. All the features you need relating to the property, your payments, your lease, or simply for reporting defects can thus be accessed conveniently. Our Services in your Cockpit give you the opportunity to manage the tenancy easily.

1.3 Communication and Management within Your Community

So that your shared apartment is organized simply and efficiently, we offer you and your Community the opportunity to organize yourselves using our features. Some matters are already organized through our services and make living together easier for you. However, new matters often arise in everyday life that need to be resolved between you and your roommates. With our Services, you can handle most organizational matters conveniently and quickly. You can also easily communicate with one another through our group chats.

1.4 Sale of Products and Services

So that you can use the right things at the right time in the right place, we offer a wide range of options through our Services for purchasing products and services from us.

2 Use of Our Services

2.1 Who May Use Our Services

To enable us to protect our users from misuse and disinformation, the following points must be observed under all circumstances:

• All data you provide must be accurate and correct.
• Only one user account may be created per person.
• User accounts for private customers may be used exclusively for private purposes.
• Under no circumstances may you pass on your password, give third parties access, or transfer your user account to anyone else without our written permission.

Room Estate is intended to be broadly available to all people. Nevertheless, we have the following restrictions for users of our Services:

• You must be at least 18 years old.
• You must not have any prior convictions in connection with violent or sexual offenses.
• You have not previously been blocked by us or one of our partners from one of our Services due to misuse of our policies.
• If applicable law prohibits you from using our Services for certain reasons.

2.2 What You May Do on Our Platforms

Room Estate is intended to serve as a platform for getting to know and organizing the shared apartment and for fostering living together. For this reason, we offer our users the freedom to express themselves and to share content in various media within our Services. For the safety and well-being of the users of our Services, and to preserve their integrity, certain rules must strictly be observed:

• You must always comply with the respective policies for the relevant products or Services.
• You must not express or share any misleading, discriminatory, fraudulent, or unlawful content.
• Under no circumstances may the rights of other persons be infringed.
• You must not upload any harmful code, malware, or other computer viruses that block, impair, overload, or in any other way negatively affect the functioning or appearance of our Services.
• Without permission, you must not use automated applications to access our Services, download data, or upload data.

2.3 Permissions Granted by Using Our Services

By using our Services, you grant us the following permissions:

• You authorize us to use, distribute, run, copy, publicly perform, create derivative works from, or modify the content you share (e.g., texts, photos, etc.) worldwide within the scope of all our Services. The extent to which we share certain content publicly depends on how your privacy settings have been configured. Please note that some content is always public once it has been created. You can find more information on privacy in our Privacy Policy. In some circumstances, content that has been shared with other users, copied, published, or made available to others cannot be deleted. Please note that deleting your user account can take some time and is not possible in some cases (e.g., if you have an ongoing lease with Room Estate). In addition, public content can be copied and reused by other people at any time. In the event of an infringement, please contact these people directly if the content was not shared within our Services.
• You authorize us to share and reproduce your first name (which can also be replaced by a nickname), your age (not your date of birth), your gender, and all public information or content you share (e.g., photos, videos, etc.) in connection with the marketing and advertising of our rental properties on our Services and/or third-party marketing and advertising platforms.
• You authorize us to place advertisements and sponsored content in connection with your user profile or user account without compensating you for this in any way (unless expressly stated otherwise).
• If you download or use software or applications from us in any form, you authorize us to carry out upgrades and updates with additional features in order to optimize and further develop the software or application.

2.4 Use of Our Intellectual Property

For all content of our Services, except your personal content, we retain all rights. Accordingly, you may use content of other users within our Services, our copyrights, our trademarks, or other intellectual property only if we expressly permit this. You must obtain either our written permission or authorization under an open-source license in order to share our intellectual property, modify software or applications, create derivative works from them, or otherwise use them.

2.5 Consequences of Violations

Content that violates these Terms of Use or other policies of our Services can and will be deleted or otherwise blocked by us. We can and will also deactivate, block, or delete your user account if we detect gross breaches or repeated violations of our Terms of Use (or of other policies).

Where possible, we will inform you about the deletion, blocking, or deactivation of your user account. In all cases, we will refrain from informing you if doing so is unlawful or if it threatens damage to our reputation or integrity.

You can report violations of your personal rights or other unlawful acts, statements, or activities of other people within Room Estate to our support team at any time.

3 Room Estate User Account

Some of our Services require a user account in order to be used. You can create the user account yourself on one of our websites or applications. Keep the password for your user account confidential so that unauthorized third parties do not have access to your data. You are responsible for the content and activities shared within your user account. To protect yourself against misuse of your account, it is best to use a password with as many characters as possible and never to use your password on other platforms. Contact our support team if you notice any unauthorized use of your password or your user account.

4 Data Protection and Privacy

In most cases, our Services described above require the collection and use of personal data. In our Data Policy, you can find out in detail how your data is collected and processed.

5 Further Provisions

5.1 Updates to Our Terms of Use

Our Services are continuously improved, expanded, or partly discontinued so that you and our Community can have an ever-better service, product, and living experience. For this reason, we have to adjust or amend the Terms of Use from time to time in order to reflect our Services correctly and accurately. We will inform you of material changes by email or the next time you log in.

Even though we would regret it, you can terminate your use of our Services at any time, provided you have no open legal transactions with us. Room Estate may suspend or restrict the provision of Services at any time without having to give reasons.

5.2 Suspension, Termination, or Restriction

Room Estate is meant to be a place where people feel safe and comfortable. In particular, we would like to be your everyday helper through our Services and to support you in your living experience.

If we determine that you are clearly in gross or repeated breach of our Terms of Use, policies, contracts, parts of contracts, or the law, we may suspend or restrict our Services for you. Please contact our support team if you believe that your user account has been deactivated by mistake.

5.3 Limitations of Liability

To ensure an error-free and secure environment at Room Estate, we apply the necessary care and appropriate expertise. Unfortunately, however, we cannot guarantee that our Services will always work without interruptions, delays, or defects. For this reason, we cannot accept any liability whatsoever and, to the extent permitted by law, exclude all liability. In particular, but without limitation, we accept no liability in the following cases:

• Outages of our online Services or non-contractual claims, provided that we have acted with the necessary care and on the basis of appropriate expertise.
• Damage or losses resulting from missing or incorrect information.
• Any offensive, inappropriate, obscene, unlawful, or otherwise objectionable content posted by others that you may encounter on our products or Services.
• Events beyond our reasonable control.

5.4 Disputes

So that disputes can be limited or, wherever possible, avoided altogether, we try to provide or draw up clear rules and agreements. Should a dispute nevertheless arise, it is important to know in advance the venue for settling the dispute and the legal basis.

In the case of an open, contractually governed legal relationship between you and us (e.g., in the case of an ongoing lease), the place of jurisdiction is the location of the rental property or of the subject matter of the contract, and the law in force at that location applies. If there are no open, contractually governed legal relationships, the place of jurisdiction is the registered office of Room Estate, and the law in force at the registered office of Room Estate applies.

5.5 Miscellaneous

Other provisions relating to this user agreement:

• Some of our products and Services are subject to supplementary terms or policies. If you use such Services and products, you will be given the opportunity to agree to the additional terms, which then become part of our agreements with you. Where other provisions conflict with these Terms of Use, the other provisions apply to the extent of the conflict.
• Should individual provisions of this user agreement be or later become invalid or unenforceable, the validity of the remaining provisions of the Terms of Use remains unaffected. The invalid or unenforceable provision is to be replaced by the valid and enforceable provision whose effects come closest to the economic objective that the contracting parties pursued with the invalid or unenforceable provision. The above provisions apply accordingly in the event that the agreement proves to be incomplete.
• You may not assign or transfer to third parties any of the rights to which you are entitled, or any of the obligations incumbent on you, under this or any other agreement without our consent.
• You may designate a person as a legacy contact who has access to your data or content and can manage it. Only your legacy contact or a person you have named in a valid will or similar document expressing your clear consent to the disclosure of your content in the event of death or incapacity can request access to your user account.
• These Terms of Use do not grant any third party any beneficiary rights. All rights and obligations that we have under these Terms of Use are freely assignable by us in connection with a merger, an acquisition, or a sale of assets, or by operation of law or otherwise.
• Feedback or suggestions for improvement are always welcome at Room Estate. However, we use these suggestions without any restrictions or obligations to compensate you. In addition, we are under no circumstances obligated to treat them as confidential.
• We reserve all rights not expressly granted to you under these Terms of Use or other provisions.

6 Other Provisions That May Be Relevant to You

The Data Policy outlines the handling of your personal data processed in connection with your use of our Services.

The General Terms and Conditions for Leases are part of every lease with Room Estate and may vary depending on the geographic location or country of the tenancy. It is best to check your lease for more information.

The Community Rules govern living together in shared apartments or in apartment buildings. Depending on the property, the house rules apply as an additional part of the Community Rules.
